Terms and Conditions.
These standard terms apply to all links and advertisements
1. Promotions;
The client acknowledges that the sole obligation of Student Accommodation UK (SAUK) is to display the promotions over this web site in accordance with the agreement. The specific positioning of the promotions on any screen shall be as determined by SAUK. We reserves the right to redesign or modify the structure, and other elements of the website at sole discretion at any time without prior notice. In the event such modifications materially affect the placement of the promotions, SAUK shall notify the client and shall work with the client to display the promotions in a location and manner comparable to those in which the redesign of modification. If SAUK and the client cannot reach agreement on a substitute placement, the client may cancel the promotions upon thirty days advance written notice to SAUK. In such case, the client will only be responsible for the half the period from the launch date up to the date of effective termination. The or otherwise transfer to any third party any promotional or advertising space, which is the subject of this agreement.
SAUK will be entitled to discontinue links to the promotion content immediately at any time where such promotion content is likely, in SAUK’s good faith judgment, to adversely affect any operations of the site or potentially incur any liability for SAUK or where the client fails to make a payment by the due date for such payment.
Each party acknowledges that Confidential Information may be disclosed to the other party during the course of the will take reasonable steps, at least substantially equivalent to the steps it takes to protect its own proprietary information, during the term of this agreement and for a period of three years following expiration or termination of his agreement, to prevent the duplication or disclosure of confidential Information of the other party, other than to its employees or agents who must have access to such Confidential Information to perform such party's obligations under his agreement and who have each agreed to comply with this provision.
Other than as is set out in these Standard Terms, SAUK will not be liable in any way for any rejection, cancellation or removal of any promotion. SAUK reserves the right at any time to reject, cancel or remove a promotion without cause on giving fifteen days prior notice to the client, in days during which such promotion should have been but will no longer be displayed.
4. Payment;
In consideration of right to withhold or set-off all amounts due in accordance with the requirements of the terms, within fifteen days of the date of invoice
Neither party shall be liable to the other for indirect, incidental, consequential, special or exemplary damages (even if such party has been advised of the possibility of such damages), suffered connection with this agreement. The client hereby agrees to indemnify, defend and hold harmless SAUK from and against all losses, damages, costs, claims and expenses suffered or incurred arising out of any breach by the client of any obligation.
The client shall ensure that all communications and all methods for collecting information used as part of the promotions or the promotion Content and directed to Users comply With all applicable laws and regulations, including, without limitation, the Data Protection Act; and any current Privacy Policy.
7. Termination;
In addition to its rights at law, either party may terminate this notice to the other party in the event of material breach of this agreement by the other party within fourteen days of written notice of the breach.
